Real Estate Exclusive Right to Sell Agreement Addendum A

Re: This addendum constitutes the entire addendum to complete paragraph # 2 of the exclusive right to sell agreement for 6699
Elm Park Drive Galloway, Ohio 43119. Parcel # 240-005503-00
Additional Terms and Conditions:
This is a Reserve Real Estate auction with a buyer’s premium of 10% for buyers not represented by a real estate agent and 12% for buyers
represented by a real estate agent and sells AS-IS without contingencies (either financial or conditional).
High bid plus buyer’s premium will constitute the total purchase price. The winning bidder will then deposit 10% of the total purchase price as a
non-refundable down payment to the World Class Title Company. Down payment will be given as a $5,000 business or personal check the day of
auction and the remaining amount the next business day wired to World Class Title. The $5,000 is in jeopardy if the remain non-refundable down
payment is not made by the next business day not including holidays. Down payment will be given back to the buyer when said buyer closes within
the terms of this contract. If the buyer defaults and does not complete the transaction, down payment will be split 50/50 with Key Realty
brokerage and seller. If a default occurs, auctioneer will contact backup bidder to offer the position of primary contract within terms of the
auction. Every prospective bidder must sign a letter of “irrevocable instruction” which defines that all down payments are non-refundable. Each
registered bidder must deposit their down payment with a personal or business check made payable to World Class Title, have a State issued photo
ID and register by signing the “Auction Registration Form” and “Terms & Conditions Form”. Auctioneer may make changes to terms & conditions
within his fiduciary responsibility to the seller (client), in the best interest of the client. If changes are made, they must be reduced to writing and signed by both parties, (buyer and seller). If the high bid is $150,000 the buyer’s premium is $15,000 and the total purchase price is $165,000.
Therefore, the non-refundable down payment is $16,500. The winning bidder may ask for an extension and if agreed by the seller, buyer agrees to
and will pay a $200 per diem split 50/50 with the broker and seller. All closing costs are the buyer’s responsibility. No Tax credits or proration
given to buyer.

Once a bidder has met the requirements to bid and then becomes the winning bidder (he/she) will sign all necessary contracts and submit a
personal/business check for the non-refundable down payment within terms at the moment of signing contracts. The winning bidder(s) will then
have 30 days from the date of the live auction event to close the transaction with World Class Title Company. This exclusive listing agreement,
terms and conditions shall be binding upon the parties, their heirs, administrator, executors, successors of interest and assigns.
Real Estate agents that want to be eligible for representing a prospective bidder and the subsequent co-op commission 2.0% must register their
contracted client at least 24 hours prior to the live event by faxing or scanning & emailing a signed Agency Disclosure Statement to John Rogers at
